Terms of Service

B2B SaaS agreement for the UjumbeAI platform. By using the Service, you agree to these terms.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between UjumbeAI ("UjumbeAI", "we", "us", or "our") and the business entity accessing or using the Service ("Customer", "you", or "your").

By registering for, accessing, or using the Service, you agree to be bound by these Terms.

The Service is offered exclusively to businesses. You represent and warrant that you are entering into this agreement on behalf of a company or other legal entity and have authority to bind that entity.

2. Description of Service

UjumbeAI provides a subscription-based Software-as-a-Service (SaaS) platform enabling hospitality and service organizations to deploy AI-powered communication tools, including:

  • Embedded AI web chat
  • Multilingual automated responses
  • Conversation storage and management
  • Administrative dashboards
  • Analytics and observability tools
  • GDPR data export tools
  • Integration with approved third-party AI providers

We may update, improve, or modify features from time to time. We will not materially reduce core paid functionality during an active subscription term without reasonable notice.

3. Account Registration and Security

You must provide accurate and complete business information when creating an account.

You are responsible for:

  • Maintaining the confidentiality of login credentials
  • Restricting access to authorized personnel
  • All activities conducted under your account

You must promptly notify us of unauthorized access or suspected security incidents.

4. Subscription, Billing, and Payment

4.1 Subscription Plans

Access to the Service requires an active paid subscription unless otherwise agreed in writing.

Plans, pricing, and included features are described on our Pricing page and may be updated with prior notice.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis via our designated payment processor.

All fees are non-refundable except where required by law.

Failure to pay may result in suspension or termination of access.

4.3 Taxes

Fees are exclusive of VAT and other applicable taxes. You are responsible for any taxes applicable to your subscription.

5. License Grant

Subject to compliance with these Terms and payment of fees, UjumbeAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations.

You may not:

  • Reverse engineer or attempt to extract source code
  • Circumvent usage limits or security mechanisms
  • Resell or sublicense the Service without written authorization
  • Use the Service to build a directly competing product by replicating proprietary workflows or configurations

6. Intellectual Property

All rights, title, and interest in the Service remain exclusively with UjumbeAI and its licensors.

This includes:

  • Software architecture
  • Platform code
  • AI orchestration logic
  • System workflows
  • Branding and documentation

No ownership rights are transferred to you.

Customer data remains owned by the Customer.

7. Acceptable Use

You agree not to use the Service to:

  • Violate applicable laws
  • Send unlawful, defamatory, abusive, or fraudulent communications
  • Infringe intellectual property rights
  • Distribute malware
  • Attempt to disrupt or overload the platform
  • Circumvent rate limits or security controls

We may suspend access if we reasonably determine a violation has occurred.

8. Data Protection and Roles

For personal data processed through the platform:

  • Customer acts as Data Controller.
  • UjumbeAI acts as Data Processor.

We process personal data solely to provide and secure the Service, in accordance with:

  • These Terms
  • Our Privacy Policy
  • Any applicable Data Processing Agreement (DPA)

Customers are responsible for:

  • Providing required notices to end-users
  • Obtaining lawful consent where required
  • Handling data subject requests

9. AI-Generated Content Disclaimer

The Service uses automated AI systems to generate responses.

You acknowledge:

  • AI-generated responses may contain inaccuracies.
  • You remain responsible for reviewing and supervising AI outputs where necessary.
  • UjumbeAI does not guarantee correctness or suitability of AI-generated content.

Use of AI outputs is at your own risk.

10. Confidentiality

Each party may receive non-public information from the other.

Both parties agree to:

  • Use confidential information only for purposes of this agreement
  • Protect it with reasonable care
  • Not disclose it without authorization

Confidentiality obligations survive termination.

11. Limitation of Liability

To the maximum extent permitted by law:

UjumbeAI's total aggregate liability arising out of or related to the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

UjumbeAI shall not be liable for:

  • Indirect or consequential damages
  • Loss of revenue or profits
  • Loss of business opportunities
  • Data loss beyond commercially reasonable safeguards
  • Service interruptions caused by third-party providers
  • Damages resulting from AI-generated content

Nothing in these Terms limits liability for fraud, willful misconduct, or liabilities that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless UjumbeAI from claims arising out of:

  • Your use of the Service
  • Your violation of law
  • Your processing of end-user data
  • Disputes between you and your guests or customers

13. Termination

13.1 Termination by Customer

You may cancel your subscription at any time. Access continues until the end of the billing period.

13.2 Termination by UjumbeAI

We may suspend or terminate access if:

  • You materially breach these Terms
  • Fees remain unpaid
  • Required by law

13.3 Effect of Termination

Upon termination:

  • Access to the Service ceases
  • Customer may export data within a defined retention window
  • Data may be deleted after a reasonable retention period

14. Service Availability

The Service is provided on an "as available" basis.

We do not guarantee uninterrupted or error-free operation.

Maintenance, updates, or third-party provider outages may impact availability.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Sweden.

Any dispute not resolved informally shall be finally settled by arbitration under the Rules of the Stockholm Chamber of Commerce (SCC).

The seat of arbitration shall be Stockholm, Sweden.

The language of arbitration shall be English.

16. General Provisions

Entire Agreement: These Terms constitute the full agreement between the parties.

Severability: Invalid provisions do not affect remaining provisions.

Assignment: You may not assign this agreement without written consent.

Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.
